Vina Collective Membership Program Terms and Policies
1. TERMS OF USE OF VINA COLLECTIVE MEMBERSHIP PROGRAM
I. Scope of Application
These Terms and Conditions (“Terms”) govern the participation in and use of the Vina Collective Membership Program (“Program”) by:
Vina Collective Joint Stock Company (“Vina Collective”)
Members (“Members”)
Cooperating partners within the framework of the Program (“Partners”)
Vina Collective is the entity that develops, manages, and operates the Program through digital platforms, including mobile applications such as Zalo Mini App and related online channels.
Members are individuals aged 18 years or older who validly register to participate in the Program and own an identified account linked to a phone number on Vina Collective’s system, or another form as prescribed by the Program from time to time.
Partners are organizations or individuals who have entered into cooperation agreements with Vina Collective to provide products, services, benefits, offers, or operational support for the Program. Depending on the scope of cooperation, Partners may include service providers, retailers, technology partners, payment partners, or data analytics partners. The list of Partners may be updated, changed, or supplemented from time to time depending on operational needs and cooperation agreements with Vina Collective.
By registering to participate in or using benefits and offers under the Program, Members confirm that they have read, understood, and agreed to these Terms and all Program policies publicly announced on the website https://vinacollective.vn/ (“Website”). Vina Collective may update these Terms from time to time to align with actual operations and applicable laws. Changes will be notified to Members via the Website, application, or official channels. A Member’s continued participation in or use of the Program after the changes take effect shall be deemed as the Member having read, understood, and agreed to the updated contents.
II. Collection and Processing of Personal Data
Vina Collective respects and is committed to protecting Members’ personal data. During the period of participation in the Program, Members agree that Vina Collective may collect, store, update, and process their personal data.
Data processing is carried out for the purposes of operating and improving the Program, personalizing each Member’s experience, providing benefit and offer information, customer care, and complying with Vietnamese laws.
Vina Collective may share necessary data with Partners to provide services, benefits, and offers within the framework of the Program. Such sharing is limited to the necessary scope and requires Partners to comply with confidentiality obligations in accordance with the law.
Members have rights related to their personal data, including:
Accessing and updating information
Requesting correction or deletion of data, within the scope permitted by law
Withdrawing consent for data processing
III. Rights and Responsibilities of Members
Members are entitled to benefits according to their membership tier and the Program policies, including:
Tier-based discounts
Automatically issued vouchers from the system
Participation in exclusive promotional programs
Members have the right to access and update personal information and track spending history through official platforms.
Members are solely responsible for any costs and obligations arising from the use of benefits under the Program.
Each individual may own only 01 account. Members are responsible for maintaining the confidentiality of their account information and must not share it with any third party.
Members are not allowed to exchange, lend, buy, sell, assign, or transfer accounts or any benefits arising from the Program, including but not limited to coupons, vouchers, or rights to participate in prize promotions for Members.
Vina Collective has the right to inspect and verify Member accounts within the necessary scope to ensure transparency, fairness, and compliance with the Program regulations.
Members agree that Vina Collective and Partners may use personal data for the purposes of operating the Program and introducing new products and services. Receiving promotional information is optional, and Members have the right to withdraw their consent at any time through the Website, application, or Hotline. All Data will be protected and used in accordance with the Personal Data Protection Policy and Information Sharing Policy publicly announced on the Website and updated from time to time.
In the event that a Member’s contact information such as phone number, email address, address, etc. changes compared to the information registered with the Program, the Member must promptly update the changed information through the Website, Zalo Mini App, or Hotline to avoid the use of benefits or offers in violation of the Program regulations. Vina Collective shall not be liable for any errors, losses, or damages arising from or related to the Member due to information not being updated in a timely manner as prescribed in these Terms.
All notices or complaints from Members to Vina Collective must be made through the official Hotline or Email of Vina Collective’s Program.
Vina Collective and/or Partners have the right to request Members to provide information and/or present valid personal documents before using benefits and/or receiving offers in certain cases.
Vina Collective and/or Partners shall be exempt from liability in the following cases:
The data processing system, software, or signal transmission system experiences incidents, errors, cyberattacks, or objective causes beyond the reasonable control of Vina Collective and Partners.
Vina Collective and/or Partners have the right to refuse to provide, cancel, reclaim, or revoke benefits and offers in the following cases. Within a reasonable scope, Vina Collective will notify Members of this as soon as possible to ensure transparency.
Vina Collective and/or Partners are unable to transfer benefits or offers to customers due to objective causes beyond the control of Vina Collective and/or Partners;
Spending is incorrectly or invalidly credited to the Member Account in accordance with the Program regulations;
The Member violates the regulations of the Program or the offer policy announced by Vina Collective and/or Partners from time to time;
Vina Collective has the right to transfer all or part of its rights and obligations related to the Program to a third party, provided that such transfer does not adversely affect the lawful rights and interests of Members and will be notified to Members.
Except for commitments to ensure Member benefits related to valid accumulated Spending from the Program in the Account, to the extent permitted by law, Vina Collective shall not be liable for losses or damages arising outside its reasonable control, including but not limited to Partners discontinuing benefit or offer programs, or withdrawing or limiting any services, benefits, or offers; or events of force majeure as prescribed by law.
IV. Spending Accumulation Mechanism
The Program operates and applies a spending accumulation mechanism to determine Member tiers, and does not apply reward points.
Eligible Spending means the actual amount paid by the Member after deducting offers and before value-added tax (VAT).
Total spending is calculated by calendar year and will be reset to 0 on January 01 each year. Changes related to Member tiers, if any, will be clearly notified to Members through appropriate methods.
V. Vouchers and Offers
Vouchers and offers are automatically issued when Members meet the conditions of the Program.
Each voucher may only be used once, has a limited validity period, and may not be transferred or exchanged for cash.
Vina Collective has the right to refuse or revoke vouchers in the following cases:
The Member violates the Program regulations or commits fraud.
A serious system error affects the fairness of the Program.
Vina Collective and/or Partners have the right to refuse to provide, cancel, reclaim, or revoke benefits and offers in the cases stated above. Within a reasonable scope, Vina Collective will notify Members of this as soon as possible to ensure transparency.
VI. Termination of Membership Rights
Vina Collective has the right to terminate a Member Account in the following cases:
The Member violates these Terms, misuses the account, or violates offer regulations.
The Member requests termination of the Account.
Upon the Member’s death or as required by law.
The Program ends.
In most cases, Vina Collective will notify the Member before terminating the Account. In cases of serious violations, notice may be given after the Account has been terminated.
Members have the right to submit complaints related to the termination of the Account or benefits within 30 days from the date the event arises. After this period, complaints may not be considered.
VII. Limitation of Liability
To the extent permitted by law, Vina Collective shall not be liable for the quality of products or services provided by Partners.
Vina Collective shall not be liable for damages arising outside its reasonable control.
Vina Collective shall not be liable for errors, losses, or damages arising where Members fail to promptly update information as prescribed in these Terms.
Members shall contact Partners directly regarding complaints related to products, services, or offers, unless otherwise provided in these Terms.
VIII. General Provisions
These Terms are governed by the laws of Vietnam. Any dispute shall be resolved through negotiation. If no agreement can be reached, the dispute shall be resolved by a competent court.
2. VINA COLLECTIVE MEMBERSHIP PROGRAM POLICY
I. Spending Accumulation Mechanism
The Vina Collective Membership Program operates and applies a mechanism for accumulating Members’ spending at Vina Collective’s Partners.
Eligible Spending means the actual amount paid by the Member after deducting valid offers and discounts and before value-added tax (VAT).
Spending is only recorded when the Member provides account information, such as phone number / Zalo Mini App account, at the time of payment.
Transactions for which Member Account information cannot be verified at the time of payment will not be recorded in the system, unless a system error is confirmed by Vina Collective.
II. Membership Tier Mechanism
Members are classified into tiers based on the total accumulated spending value within a calendar year, from January 01 to December 31, specifically as follows:
Silver Tier: Total spending below VND 10,000,000
Gold Tier: Total spending from VND 10,000,000 to below VND 50,000,000
Platinum Tier: Total spending from VND 50,000,000 or above
After successful registration, Members are assigned to the Silver Tier by default.
Membership tier will be automatically upgraded when the corresponding spending threshold is reached.
Total spending will be reset to 0 on January 01 each year. After the end of the calendar year, the Member tier will be re-determined based on the total spending of the previous year.
III. Member Benefits
Members are entitled to benefits corresponding to their membership tier, including but not limited to:
Tier-based discounts:
Silver: 10%
Gold: 12%
Platinum: 15%
Birthday offers:
Silver: 15% discount voucher, one-time use
Gold: 20% discount voucher, one-time use, and 01 complimentary item valued at VND 200,000
Platinum: 25% discount voucher, one-time use, and 01 complimentary item valued at VND 500,000
Other offers and exclusive experiences announced by Vina Collective from time to time may be subject to specific applicable conditions, including but not limited to time, products, locations, and quantity.
IV. Voucher Issuance Mechanism
Vouchers are automatically issued through the system, such as Zalo Mini App / SMS, when Members meet the conditions of the Program, including but not limited to:
Successful membership registration
Birthday
Membership tier upgrade
Participation in marketing campaigns
Vouchers will be sent directly to the Member’s account through Vina Collective’s systems.
V. Voucher Usage Mechanism
Members use vouchers by presenting a QR code or identification code at the time of payment.
Each voucher:
May only be used once, unless otherwise specified
Has a specific validity period, displayed upon issuance, and will not be extended unless otherwise notified
Has no cash redemption value
Is non-transferable
Does not apply to transactions completed before the time of use
Vouchers are only applicable at Vina Collective’s Partners or designated locations.
VI. Principles for Applying Offers
Membership benefits and vouchers cannot be used in conjunction with other promotional programs, unless otherwise specified.
Each transaction may only apply one form of benefit or offer with the highest value, unless the system or a specific program allows combination.
VII. Cases Where Spending Will Not Be Recorded
The following cases will not be recorded as spending:
Cancelled or refunded transactions
Transactions using vouchers from third parties
Account verification failure
Signs of fraud
Transactions deemed invalid by the system or used for testing or internal operational purposes
VIII. Adjustment and Withdrawal of Benefits
Vina Collective may adjust or update benefits to ensure the suitability, transparency, and fairness of the Program, including withdrawing or adjusting benefits and offers in the following cases:
Fraud or abuse of the Program is detected
System errors affect the fairness of the Program
IX. Other Notes
Unless otherwise defined in these Terms and Conditions, terms and concepts not specifically regulated shall be understood in accordance with the relevant policies and regulations of the Program issued by Vina Collective and/or the laws of Vietnam.
Members are responsible for checking the applicable conditions of each benefit or offer before use.
Vina Collective shall not be responsible for refunds where benefits expire in accordance with the Program regulations.
Vina Collective may update this Policy from time to time to align with actual operations. Changes will be notified to Members through official channels before application.
3. PERSONAL DATA PROTECTION POLICY OF VINA COLLECTIVE MEMBERSHIP PROGRAM
Article 1. Introduction
Vina Collective Joint Stock Company (“Vina Collective”) is committed to respecting and protecting the personal data of Customers/Members (“Members” or “Customers”) in accordance with applicable laws, especially the Personal Data Protection Law 2025, effective from January 01, 2026, and relevant legal documents.
This Personal Data Protection Policy (“Policy”) is established to provide Members with full and transparent information about how Vina Collective collects, processes, and protects personal data, and to explain Members’ rights related to their data.
This Policy applies to all platforms and services operated by Vina Collective, including but not limited to the website, mobile applications including Zalo Mini App, other online platforms, as well as all programs related to the Membership Program.
By registering an account, providing data, or using the services, Members confirm that they have read, understood, and agreed to the entire contents of this Policy, and agree that Vina Collective may process personal data for the purposes stated in this Policy.
Article 2. Personal Data Collected
2.1.
“Personal data” means information in the form of symbols, writing, numbers, images, sounds, or similar forms that is associated with a specific individual or helps identify a specific individual.
2.2.
The types of personal data that Vina Collective may collect include:
Identification information: full name, phone number, email, date of birth
Transaction and service usage information: spending history, service and voucher usage, offers, invoices, payment methods, if any, and interactions with the Program
Membership information: membership tier, benefits, offer usage history
Technical data: IP address, device, operating system, access information, and platform usage behavior
Feedback and customer care information, including contact content, complaints, and comments
2.3.
Members undertake to provide accurate information and update such information when changes occur. Vina Collective has the right to request Members to verify information if data is found to be incomplete, inaccurate, or suspected of fraud.
2.4.
Where Members link their accounts with third-party platforms, such as Zalo, Vina Collective may collect information within the scope permitted by the third-party platform, while ensuring compliance with the data protection regulations of such platform.
Article 3. Scope and Time of Data Collection
3.1.
Vina Collective may collect Customers’ personal data in cases including but not limited to:
When Customers register an account or participate in the Membership Program.
When Customers use services or conduct transactions at restaurants under Vina Collective’s Partners.
When Customers submit forms, registrations, or provide information in any form.
When Customers interact with us through hotline, email, Zalo, or other communication channels.
When Customers use the application, Zalo Mini App, or access the Platform.
When Customers participate in promotions, events, or surveys.
When Customers submit feedback, support requests, or complaints.
3.2.
The situations listed above are not exhaustive. Personal data may be collected in other lawful situations as prescribed by law or for the purpose of performing contractual obligations, providing services, ensuring security, or preventing fraud.
Article 4. Cookies
4.1.
Vina Collective may use cookies and similar technologies to:

Vina Collective may collect, use, process, and/or disclose personal data for the following purposes:
Operating and managing accounts and the Membership Program
Authenticating accounts and recording Members’ spending
Providing offers, vouchers, and benefits
Personalizing Member experience
Sending information and promotional programs
Providing customer care and technical support
Analyzing, researching, and developing services
Preventing fraud and ensuring system safety
Complying with legal obligations in accordance with the law
5.2.
If a new purpose related to personal data arises, Vina Collective will notify Members in accordance with applicable laws.
Article 6. Data Sharing
6.1.
Vina Collective may share personal data within the necessary scope with:
Partners to provide services and offers to Members
Service providers supporting system operations, including but not limited to CRM, POS, Zalo, storage, and payment technologies
Marketing partners, where consent has been obtained
Competent state authorities upon request in accordance with the law

Data recipients are responsible for maintaining confidentiality and using the data only for permitted purposes.
6.3.
Vina Collective does not sell personal data in any form and ensures privacy and information protection.
Article 7. Cross-Border Data Transfer
Where necessary, personal data may be transferred outside the territory of Vietnam to support operational activities.
